These terms govern the software tools (“Tools”) that Alternative Accounting Services (“we”, “us”) uses to connect to clients’ accounting and business systems, including applications registered with Intuit that access QuickBooks Online through the Intuit API.
1. Scope
The Tools are internal applications operated by our firm for the sole purpose of delivering bookkeeping, accounting, payroll and tax services to clients under a written engagement. They are not distributed, sold or licensed to the public. No person other than our authorised staff is granted a right to use them.
2. Client authorisation
A connection between a Tool and a client’s QuickBooks Online file is made only with the client’s authorisation, either directly by the client or by our firm acting as the client’s authorised accountant user. The client may revoke that authorisation at any time from the Apps section of QuickBooks Online or by written notice to us, after which the Tool will no longer access the file.
3. Use of data
Data accessed through the Tools is used only as described in our Privacy Policy and in the client’s engagement letter. We do not use it for any other purpose and we do not sell it.
4. Intuit and third-party services
QuickBooks and QuickBooks Online are products of Intuit Inc. Our use of the Intuit API is subject to Intuit’s developer terms. Nothing in these terms grants any rights in Intuit’s products, and Intuit is not a party to these terms or to our engagement with the client.
5. Responsibilities
We will use the Tools with reasonable care and in accordance with our professional obligations. The client remains responsible for the accuracy and completeness of the information it provides to us and for maintaining its own access controls over its accounting systems. Entries the Tools record in a client’s file are reviewed under our normal review procedures before being relied on.
6. Limitation of liability
To the extent permitted by law, our liability arising from the use of the Tools is limited as set out in the client’s engagement letter. We are not liable for interruptions or errors caused by third-party services, including Intuit’s platform, beyond our reasonable control.
7. Termination
Use of the Tools in relation to a client ends when the engagement ends or when authorisation is revoked. Data retention after termination is governed by our Privacy Policy and applicable law.
8. Governing law
These terms are governed by the laws of British Columbia and the federal laws of Canada applicable therein.
